Acceptance of Terms

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

• Make false interpretations of the App with the intent to harm, damage the image or reputation of the App.

Intellectual Property

All content and materials on the App, including text, graphics, logos, and software, are the property of the Company or its licensors and are protected by intellectual property laws. You may not use any of these materials without our prior written permission.

User Content

You may be able to submit, upload, or post content through the App "User Content". By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with the App.

Termination

We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

Disclaimers

The App is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any bugs, viruses, trojan horses, malware or the like that may be transmitted to or through our App by any third party; (iv) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or (v) the defamatory, offensive, or illegal conduct of any third party.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the App; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

Governing Law

These Terms shall be governed and construed in accordance with the laws of any State of the “United States of America”, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through binding arbitration in accordance with the rules of the [Arbitration Organization], and the arbitration shall take place in Phoenix AZ, The United States of America.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the use of the App and supersede any prior agreements between you and us relating to such subject matter.
